Terms of Service

Who these terms are between

These terms are an agreement between you and Whimbrel Research of Warwick, Rhode Island (“Whimbrel”, “we”). They cover Whimbrel MedTech Analyst: the connector your AI app uses, the data and agent APIs, and this website (together, the “Service”). You accept them by ticking the box on the sign-in page or by using the Service.

Individual and firm subscriptions

  • Individual plan. A licence for one person. You may use it for your own work, including as a consultant or sole proprietor. It cannot be shared or transferred.
  • Seat plan. The firm is the customer. The person who starts it confirms they may accept these terms for the firm. The firm is responsible for how its members use the Service. Each member signs in with their own login and agrees to these terms for themselves when they join.

Trials, billing and cancelling

  • Every plan starts with a one-month free trial. A card is required to start.
  • After the trial, your plan renews each month at the price shown when you signed up until you cancel. Cancel anytime in billing. If you cancel during the trial, you are not charged.
  • A cancellation takes effect at the end of the period you have paid for. Partial months are not refunded unless the law requires it.
  • We give at least 30 days’ notice before a price change applies to you. Prices exclude any taxes that apply.
  • Plans include usage limits described in the Service. Full company research counts toward usage. We may limit use that strains the Service.

How you may use Whimbrel data

You may use the answers, records and files the Service gives you for your own business, or your firm’s: in your CRM, emails, documents and internal reports, and in what you share with colleagues, clients and prospects in the ordinary course of that work.

You may not:

  • resell, sublicense or republish Whimbrel data in bulk;
  • use it to build or supply a competing database or dataset;
  • extract it systematically beyond normal use, by scraping or automated bulk export;
  • use it to train a model meant to reproduce the Service;
  • share logins or keys, or get around usage limits or security.

Citation, research and journalism

Anyone may cite or quote limited Whimbrel findings in published work, including research and journalism, with the attribution “Source: Whimbrel MedTech Analyst”. Researchers and journalists whose work needs broader access can email nate@whimbrelresearch.com. We consider those requests case by case.

Who owns what

  • Your content: your questions, lists, watches and notes are yours. You let us use them to provide, secure and improve the Service. We keep them private to your account and never tell anyone which companies you looked up.
  • Whimbrel’s: the Service, its software, and Whimbrel’s company record, database and compilations belong to Whimbrel. That includes research results produced through the Service, including research run at your request. What that research finds in public sources becomes part of the company record, as the Privacy Policy describes. Public records themselves belong to their publishers; we claim no ownership of public facts.
  • Usage patterns: anonymous, aggregated patterns from how the Service is used are Whimbrel’s. They never identify you or your firm.
  • Feedback: if you send suggestions, we may use them freely.

People in the data, and your outreach

The Service includes names, work titles and published business contact routes. You are responsible for using them lawfully, including laws on commercial email, calls and texts, and privacy laws where the people you contact live, and for honouring opt-outs. Do not use the Service to harass anyone, or to make decisions about a person’s credit, employment, insurance or housing.

Accuracy

Whimbrel data is compiled from public sources and composed by software. It can be incomplete, out of date or wrong. Every item links to its source; check the source before you rely on it. Nothing in the Service is legal, regulatory, medical or investment advice.

Other services

You use the Service through AI apps and pay through Stripe. Those services have their own terms, and we are not responsible for them.

Warranties and liability

The Service is provided as is and as available, without warranties of any kind, to the extent the law allows. Whimbrel is not liable for indirect, incidental, special or consequential damages, or for lost profits or data. Our total liability for any claim is limited to what you paid us in the 12 months before the claim. Some laws do not allow these limits; where they apply, the limits apply only as far as the law permits.

You will cover Whimbrel’s reasonable costs from claims caused by your breach of these terms or by your outreach to people you found through the Service.

Suspension and ending

You can cancel anytime. We may suspend or end access for a breach of these terms, for non-payment, or where the law requires, and we will tell you when we can. The sections on ownership, accuracy, liability and disputes continue after access ends.

Changes to these terms

When we change these terms, we date the new version and ask you to agree to it when you next sign in. If you do not agree, you can cancel.

Law and disputes

Rhode Island law governs these terms. Disputes go to the state or federal courts in Rhode Island, except that either side may use small-claims court. Consumer protections that apply to you by law are not affected.

General

These terms and the Privacy Policy are the whole agreement about the Service. If part of them cannot be enforced, the rest still applies. Not enforcing a term is not a waiver of it. Whimbrel may transfer this agreement as part of a sale, merger or reorganisation. We send notices by email.
